Como <strong><a href=\"https:\/\/ffbethencourt.es\/en\/\">abogado en Tenerife<\/a><\/strong> uno de los contratos que gestiono para firmas que necesitan liquidez es el Sale and Lease Back.<!--more--><\/p>\n<h2>Qu\u00e9 es el Sale and Lease Back<\/h2>\n<p>Traducido al castellano, el Sale and Lease Back puede ser algo as\u00ed como \u201c<strong>venta con arrendamiento posterior<\/strong>\u201d. Se trata de una figura que resulta relevante dentro del mercado inmobiliario. Especialmente para las empresas que est\u00e1n atravesando dificultades financieras pero tienen inmuebles en propiedad, bien se trate de oficinas, almacenes o locales comerciales.<\/p>\n<p>Esta figura consiste en vender un activo, pero con la opci\u00f3n de continuar utilizando el inmueble en forma de arrendamiento. Explicado de un modo muy simple, el Sale and Lease Back consiste en vender un inmueble y a la par hacer un contrato de alquiler a largo plazo. De este modo, las empresas que deciden efectuar la venta obtienen dos cosas: liquidez a corto plazo y la posibilidad de seguir con su actividad en el mismo sitio.<\/p>\n<p>Se entiende entonces que se trate de una figura en auge hoy en d\u00eda. Debido a la pandemia de la Covid-19 muchas firmas han visto reducidos sus ingresos y buscado alternativas a corto plazo para <strong>obtener liquidez<\/strong>.<\/p>\n<p>Una de las ventajas de esta f\u00f3rmula es que la liquidez que se consigue de un modo r\u00e1pido tiene un precio razonable y, adem\u00e1s, permite seguir utilizando los activos inmobiliarios en los mismos t\u00e9rminos a cambio del pago de una renta. <strong>El arrendamiento suele ser a largo plazo<\/strong>, es decir, entre 10 y 20 a\u00f1os. Adem\u00e1s, suele incluir una opci\u00f3n de compra a favor del arrendatario cuando concluya el plazo pactado. Antes de formalizar el contrato tiene que asegurarse de que el vendedor tiene garant\u00eda de solvencia. Si es as\u00ed, est\u00e1 haciendo una <strong>inversi\u00f3n segura a largo plazo<\/strong>, lo que quiere decir que obtendr\u00e1 un buen rendimiento. Para el vendedor, cuanto m\u00e1s largo sea el contrato, m\u00e1s rentable le resultar\u00e1.<\/p>\n<p>Adem\u00e1s, en este tipo de operaciones los arrendamientos suelen ser triple net, con la finalidad de equipararlos a un producto financiero. Esto significa que <strong>es el arrendatario quien asume todos los gastos<\/strong> (impuestos, seguros, mantenimiento de las instalaciones, etc.) que se asocian al inmueble. Por lo tanto, las rentas que recibe el inversor son rentas \u00abnetas\u00bb.<\/p>\n<p>Por supuesto, <strong>antes de realizar la operaci\u00f3n se deber\u00eda hacer un estudio que permita asegurar la viabilidad<\/strong> de la misma. El arrendatario debe tener la capacidad de obtener los ingresos suficientes para asumir los pagos que determina el contrato de arrendamiento.<\/p>\n<p>En mi labor de <strong><a href=\"https:\/\/ffbethencourt.es\/en\/mercantil-societario\/\">asesoramiento mercantil<\/a><\/strong>, una de las ventajas que suelo se\u00f1alar a aquellas empresas que est\u00e1n pensado utilizar esta figura para obtener liquidez es su <strong>flexibilidad<\/strong>. El Sale and lease back se rige por lo que hayan decidido pactar las dos partes en el contrato. Por eso es importante que este recoja de modo detallado todas las circunstancias que se puedan dar, desde el impago de la renta\u00a0 a la resoluci\u00f3n anticipada del contrato.<\/p>\n<p>En nuestro pa\u00eds<strong>, <\/strong>fueron los bancos y las cajas de ahorro los primeros en hacer uso de la figura del Sale and Lease Back. Posteriormente, han seguido el ejemplo otro tipo de compa\u00f1\u00edas de los sectores de las telecomunicaciones y energ\u00e9tico.
